TBC Coaching Affiliate Agreement

Affiliate Marketing Program Agreement

This Affiliate Marketing Program Agreement ("Agreement") is made between Trinity Breakthrough Coaching, LLC ("Company"), and the affiliate ("Affiliate").

Recitals

A. The Company owns or is authorized to promote or distribute goods or services (the "Goods or Services") as described below.

B. The Affiliate desires to promote or distribute the Goods or Services to potential buyers and customers.

C. The Company is willing to have Affiliate promote or distribute the Goods or Services, and to compensate Affiliate according to the terms set forth in this Agreement.

Agreement

1. Definitions

1.1. "Customer" means a person or entity that has purchased the Goods or Services from the Company as a result of Affiliate's marketing efforts pursuant to this Agreement.

1.2. "Referral" shall mean an individual or entity who clicks on Affiliate's link or uses Affiliate's coupon code, and who then purchases Goods or Services from the Company.

2. Promotion of Goods or Services

2.1. The Affiliate may promote the Goods or Services through their own website, social media or other online platforms, or through offline channels such as flyers or brochures.

2.2. The Affiliate will use their best efforts to promote the Goods or Services, and will not engage in any conduct that is unlawful, fraudulent, or misleading.

3. Compensation for Referrals

3.1. For each Referral, the Company agrees to pay the Affiliate a commission as described in Exhibit A.

3.2 The commission will be paid on a monthly basis, and after the Company received the payment for the Goods or Services, and will be subject to any necessary deductions such as refunds or chargebacks.

4. Term of Agreement

4.1 This Agreement will commence on the date that the Affiliate enrolls in the Affiliate Marketing Program, and will continue in effect until terminated by either party upon 30 days' written notice.

5. Intellectual Property

5.1 The Affiliate agrees that the Company's logos, trademarks, and other intellectual property may only be used in accordance with the Company's branding guidelines and with the Company's prior written consent.

6. Confidentiality

6.1 The Affiliate agrees to keep confidential any information provided under this Agreement and will not disclose any such information to any third parties without the prior written consent of the Company.

7. Termination

7.1 Either party may terminate this Agreement by giving 30 days written notice to the other party. Termination will not relieve either party of its obligations to pay commissions earned prior to the termination of this Agreement.

8. Choice of Law and Forum

8.1 This Agreement shall be governed by and interpreted in accordance with the laws of the state of Indiana without regard to principles of conflicts of law. Any dispute arising out of this agreement shall be resolved in the courts of [Kokomo, IN].

Exhibit A

Commission rate: 13% - 20% (Range is inclusive of any and all discounted rates offered)

Payment frequency: 30 calendar days

Payment method: Paypal, Inc.

Minimum payment threshold: $1000.00/customer

Maximum payment threshold: Uncapped

Affiliate Portal Access

Everything referenced and used in this affiliate program (share links, reports, and top level stats) will all be housed conveniently on a secured affiliate dashboard “Trinity Breakthrough Coaching Affiliate Portal” (www.tbc-coaching.com/affiliate_users/sign_in). Upon enrolling for the affiliate program, you will receive an invitation email prompting you to create a unique username and password and enter your Paypal email address. At your convenience you may access this “Trinity Breakthrough Coaching Affiliate Portal” area to access, review the unique, shareable link and/or update your settings options. Per example, you can turn customer purchasing notifications on, by which will send you an email notification each time a referral becomes a customer from your shareable link.
